Terms of Service

1. Acceptance of Terms

By accessing or using the FuelLogix XCP platform ("Service"), operated by Micro-Logix, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Micro-Logix, Inc. You represent that you have the authority to bind the organization on whose behalf you are accessing the Service.

2. Description of Service

FuelLogix XCP is a cloud-based enterprise platform designed for the petroleum and convenience store industries. The Service provides functionality including, but not limited to:

• Back-office operations and daily reconciliation
• Fuel inventory tracking and management
• Point-of-sale data integration and reporting
• End-of-day audit workflows
• General ledger export and accounting integration
• Price book management
• Multi-site home-office reporting and analytics

3. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Upload or transmit viruses, malware, or other harmful code
• Use the Service to store or transmit content that infringes on third-party rights
• Share account credentials with unauthorized individuals

5. Data Ownership

You retain all ownership rights to the data you submit to the Service ("Customer Data"). We do not claim ownership of your Customer Data. You grant us a limited license to use Customer Data solely to provide and improve the Service.

We will not sell, share, or use your Customer Data for purposes unrelated to the Service without your explicit consent.

6. Payment Terms

Access to the Service requires a paid subscription as outlined in your service agreement. All fees are invoiced in advance and are non-refundable except as required by law.

We reserve the right to modify pricing with at least 30 days' written notice prior to the start of a new billing cycle. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

7. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance. For details on uptime commitments and service credits, please refer to our Service Level Agreement.

8. Intellectual Property

The Service, including its source code, design, features, documentation, and all related intellectual property, is owned by Micro-Logix, Inc. and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

9. Limitation of Liability

To the maximum extent permitted by law, Micro-Logix, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service during the twelve (12) months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination, your right to use the Service ceases. You may request an export of your Customer Data within 30 days of termination. After that period, we may delete your data in accordance with our data retention policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
